Terms of Service | Futurascape Systems

1. Parties and Scope

These Terms of Service ("Terms") govern your use of futurascape.com and access to professional digital systems engineering services provided by Futurascape Systems inc. ("Futurascape", "we", "us"). By accessing the website or ordering a service, you agree to be bound by these Terms.

2. Professional Services

Futurascape provides fixed-scope digital systems engineering services including: operational diagnostic blueprints, high-conversion web platform development, AI automation sprints, custom business applications, and ongoing digital systems management. Each engagement is governed by a separate Statement of Work (SOW) that prevails over these Terms in the event of conflict.

3. Fees and Payment

The Solution Blueprint fee is CAD $4,500, payable upon signing. This amount is fully credited toward production build costs if a development agreement is signed within 30 days of Blueprint delivery. Fees for all other services are defined in the applicable SOW. Unless otherwise agreed, invoices are payable within 15 days of issuance. Late payments accrue interest at 1.5% per month.

4. Intellectual Property

Upon receipt of full payment, Futurascape assigns to the client intellectual property rights in the deliverables specifically developed under the engagement. Futurascape retains all rights in its internal tools, frameworks, methodologies, reusable components, and pre-existing know-how.

5. Confidentiality and Data Protection

Each party agrees to maintain the confidentiality of the other party's proprietary information. Futurascape processes all personal data in accordance with Quebec Law 25 (Act to modernize legislative provisions as regards the protection of personal information) and the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA). 6. Limitation of Liability

To the fullest extent permitted by applicable law, Futurascape's total liability to the client, regardless of cause, is limited to the total fees paid by the client in the twelve (12) months preceding the triggering event. In no event shall Futurascape be liable for indirect, incidental, special, or consequential damages.

7. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the applicable federal laws of Canada. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the district of Montreal, Quebec.
